    2. Limitations on License Rights

    You shall not make any changes or alterations to the Materials without the prior written consent of Image Clear.

    You shall not engage, nor shall it facilitate any engagement by a third party, any use of the Materials outside this Terms and Conditions without the prior written consent of Image Clear, which consent may granted or withheld at Image Clear’s sole discretion.

    You acknowledge the validity and ownership of all right, title and interest in and to the Materials by Image Clear, and agree that nothing in this Terms and Conditions shall give you any right, title or interest in the Materials other than the right to use, copy and/or distribute the Materials in accordance with this Terms and Conditions.

    You agree to notify Image Clear of any unauthorized use of the Materials.  Image Clear reserves the right to decide whether legal proceedings shall be instituted, by whom, how they are to be handled and in whose name they shall be brought.  Image Clear makes no warranties, either express or implied, that you may use, copy or distribute the Materials without infringing the rights of any third party.
